Welcome to Acquisphere. By accessing or using our business valuation tool and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our Services.

By accessing or using the Acquisphere valuation tool, generating reports, or purchasing premium reports, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

Acquisphere provides:

• An online business valuation estimation tool
• Free summary valuation reports
• Premium detailed valuation reports (paid)
• Educational content and guidance on business sales processes

All valuations, reports, and information provided through our Services are for educational and informational purposes only. They should not be construed as:

• Professional financial advice
• Professional legal advice
• Professional tax advice
• A formal business appraisal or certified valuation
• A guarantee of actual market value
• An offer to buy or sell any business

Our valuations are estimates based on the information you provide and industry-standard methodologies. They do not constitute a certified appraisal as defined by the Uniform Standards of Professional Appraisal Practice (USPAP) or other professional valuation standards.

Actual market value may vary significantly based on numerous factors including but not limited to:

• Current economic conditions and market trends
• Buyer demand and available financing
• Specific business circumstances revealed during due diligence
• Industry trends and competitive landscape
• Regulatory changes
• Timing of sale and negotiation dynamics
• Quality and accuracy of financial documentation
• Local market conditions

Before making any decisions regarding the sale, purchase, or valuation of a business, you must consult with qualified professionals including:

• Business brokers or M&A advisors with experience in your industry
• Certified Public Accountants (CPAs) for tax planning and financial verification
• Certified Business Appraisers for formal valuations
• Attorneys specializing in business transactions
• Financial advisors for investment and retirement planning

You are solely responsible for the accuracy, completeness, and truthfulness of all information you provide to our Services. The quality and reliability of our valuation estimates depend entirely on the quality of the information you input.

You are responsible for maintaining the confidentiality of any reports or information you receive from our Services. You should not share sensitive business information with unauthorized parties without proper non-disclosure agreements in place.

You may not use our Services to:

• Make fraudulent or misleading representations about business value
• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Harm, harass, or discriminate against others
• Transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems
• Resell or redistribute our reports without authorization

Premium detailed reports are available for a one-time fee of $49. Payment is processed securely through Stripe, our payment processor. By making a purchase, you agree to Stripe's terms of service.

All sales are final. We do not provide refunds except in the following circumstances:

• Critical technical error in the tool that produces incorrect output
• Complete failure of report download functionality
• Duplicate charges due to processing errors
• Other documented technical failures on our end

To request a refund for a qualifying issue, you must contact us at support@acquisphere.com within 7 days of purchase with:

• Your order confirmation or transaction ID
• Detailed description of the technical issue
• Screenshots or documentation demonstrating the problem

Refunds will NOT be provided for:

• Disagreement with valuation estimates or methodology
• Change of mind or buyer's remorse
• User error in data entry
• Market conditions that differ from estimates
• Failure to secure desired sale price in actual market

All content, features, functionality, software, and design of our Services are owned by Acquisphere and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

Your generated reports are licensed to you for your personal or business use. You may share them with professional advisors and potential buyers under appropriate confidentiality agreements, but you may not resell, republish, or commercially exploit them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACQUISPHERE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use our Services
• Any inaccuracies or errors in valuation estimates
• Business decisions made based on our reports
• Failure to achieve expected sale prices or terms
• Any unauthorized access to or use of our servers or your data
• Any bugs, viruses, or harmful code transmitted through our Services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Acquisphere and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any rights of another party
• Your use or misuse of our Services
• Any false or misleading information you provide

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• Our Services will be uninterrupted, secure, or error-free
• Defects will be corrected
• Our Services are free of viruses or harmful components
• The results obtained from using our Services will be accurate or reliable

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our Services after such modifications constitutes your acceptance of the updated Terms.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our Services will immediately cease.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the ADR Institute of Canada, except where prohibited by law.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Acquisphere regarding our Services and supersede all prior agreements and understandings.
